COSA is a private nonprofit corporation and has created COSA Communities to further the professional development of individual educators by providing a password protected forum for authorized users to network, exchange ideas, and share their experiences with other similarly situated educators.

By submitting an application to participate in COSA Communities, receiving approval from COSA, and thereafter accessing and utilizing the COSA Communities website, you agree to be legally bound to the following terms:

  Registration and Account Security:

• You agree to provide your real name and information in registering to use COSA Communities.

• You agree not provide any false personal information or create an account for anyone else.

• You agree not share your password, or allow anyone else access to your account, or intentionally do anything that might jeopardize the security or confidentiality of your account.

Permitted Use:

• You agree to adhere to all applicable policies and standards governing COSA Communities, which policies and standards are subject to change by COSA at anytime, and not to use COSA Communities for any unauthorized purpose.

• You agree not to infringe or violate anyone’s rights or otherwise violate the law while using COSA Communities, or taking any action in connection therewith.

• You understand, acknowledge, and agree that COSA Communities is not a forum for conducting public business and any use of the website for such purpose is unauthorized.

• You agree that COSA may monitor, access, utilize, share, disclose, remove, or deny access to any information, including but not limited to your personal information, password, and communications, and that COSA may discontinue COSA Communities at any time for any reason.

• You understand, acknowledge, and agree that accessing and utilizing COSA Communities as an employee, representative, or agent of any other person or entity is unauthorized. You agree and affirmatively represent that you will only access and utilize COSA Communities in your own individual personal capacity, not as an employee, agent, contract, volunteer, or other representative of a school district, state agency, or any other public or private entity, organization, or body.

• You understand, acknowledge, and agree that all of your statements on COSA Communities are made in your own individual personal capacity, not in your capacity as an employee, agent, or representative for any other person or entity. You agree you are solely responsible for your own statements and conduct on COSA Communities and that COSA has no responsibility for your statements or statements made by other users.

Confidentiality:

• You agree to maintain the confidentiality of all communications exchanged on the COSA Communities website and not to share the text of any communications exchanged on the COSA Communities website to any third party [1] through copying, printing, photographing, allowing access to your account, or any other means whatsoever, unless otherwise required by law.  You agree that COSA and all other persons who have been granted access to COSA Communities are intended beneficiaries of this agreement.

• You agree you will not seek to discover communications on the COSA Communities website in any legal proceeding (e.g., subpoena, document request), any administrative proceeding, or through any other procedure otherwise available under law and knowingly waive all legal rights you otherwise have to do so. You agree that COSA and all other persons who have been granted access to COSA Communities are intended beneficiaries of this agreement and waiver.

• You understand, acknowledge and agree that while COSA generally seeks to promote the confidentiality of the COSA Communities forum through its terms of service, its password protection, and other security measures, COSA cannot and does not provide any assurance or guarantee that any information on the COSA Communities website will not be disclosed to third-parties by COSA, its employees and agents, other users, or third parties pursuant to court order, or because of negligence, security breach, or other voluntary or involuntary other reason.

Liability Disclaimers and Indemnification:

• YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT COSA IS NOT RESPONSIBLE FOR YOUR ACTIONS, CONTENT, INFORMATION, OR DATA, OR THE ACTIONS OF ANY THIRD PARTIES (INCLUDING OTHER USERS). YOU AGREE TO RELEASE COSA, AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY OTHER USER OR OTHER THIRD PARTY.

• YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT COSA COMMUNITIES IS BEING PROVIDED TO YOU “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGMENT. YOU ARE ACCESSING COSA COMMUNITIES WEBSITE AT YOUR OWN RISK. COSA MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE WHATSOEVER THAT COSA COMMUNITIES IS SAFE, SECURE, ERROR-FREE, OR CONFIDENTIAL. COSA MAKES NO GUARANTEE THE WEBSITE WILL ALWAYS FUNCTION OR THAT IT WILL FUNCTION PROPERLY OR AS INTENDED.
